Research Use & Purchase Agreement

1. Scope of Agreement
This Research Use & Purchase Agreement (“Agreement”) governs all purchases of materials from PureLux Bio LLC. By placing an order, you acknowledge and agree to be legally bound by this Agreement.
2. Research Use Only (RUO) Designation
All products offered by PureLux Bio are designated strictly for Research Use Only (“RUO”). Materials are supplied exclusively for lawful laboratory research purposes and are not intended for human use, animal use, veterinary use, diagnostic use, therapeutic use, clinical use, investigational use, or any application involving biological exposure.
Products have not been evaluated or approved by the United States Food and Drug Administration for medical or therapeutic purposes.

3. Purchaser Representations
By purchasing materials, you represent and warrant that you are legally authorized to purchase Research Use Only materials, possess appropriate knowledge and laboratory facilities, and will use materials solely for lawful laboratory research.
You acknowledge that research chemicals may pose inherent hazards and assume full responsibility for proper handling, storage, containment, use, transfer, and disposal in accordance with applicable laws and institutional safety standards.

4. Transfer of Risk and Responsibility
Risk of loss transfers to the Purchaser upon tender of shipment to the carrier. PureLux Bio does not supervise, monitor, or control downstream use and assumes no responsibility for actions taken after shipment.
5. Prohibited Human or Animal Use
Under no circumstances may materials be administered to humans or animals. This includes injection, ingestion, inhalation, topical application, implantation, or any form of biological exposure.
Any such use constitutes a material breach of this Agreement and is undertaken solely at the Purchaser’s risk.

6. Disclaimer of Warranties
All materials are provided “AS IS.” PureLux Bio disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, safety, sterility (unless expressly stated in writing), and non-infringement.
7. Limitation of Liability
To the fullest extent permitted by law, PureLux Bio shall not be liable for indirect, incidental, consequential, or punitive damages arising from the purchase or use of materials.
Total liability shall not exceed the purchase price of the specific material giving rise to the claim.

8. Indemnification
The Purchaser agrees to indemnify, defend, and hold harmless PureLux Bio LLC and its affiliates from any claims, liabilities, losses, damages, fines, penalties, or expenses arising from misuse, human or animal exposure, violation of law, unauthorized resale, or breach of this Agreement.
This indemnification obligation survives termination.
9. Governing Law
This Agreement shall be governed by the laws of the State of Delaware, with exclusive venue in Delaware courts or arbitration as provided in the Terms of Service.
