1. Agreement and Acceptance
These Terms of Service (“Terms”) govern your access to and use of the website located at www.pureluxbio.com (the “Site”), operated by PureLux Bio LLC (“PureLux Bio,” “Company,” “we,” “us,” or “our”). These Terms form a legally binding agreement between you (“User,” “Customer,” or “Purchaser”) and PureLux Bio.
By accessing the Site, creating an account, submitting information, or placing an order, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as any additional policies incorporated by reference, including the Research Use & Purchase Agreement and Privacy Policy.
If you do not agree to these Terms, you must immediately discontinue use of the Site.
You further agree that your electronic acceptance of these Terms constitutes a legally binding agreement equivalent to a handwritten signature.
2. Eligibility and Legal Capacity
By using this Site, you represent and warrant that you are at least twenty-one (21) years of age and possess the legal authority to enter into binding agreements.
You further agree that you will use this Site and any products purchased in full compliance with all applicable federal, state, and local laws and regulations. PureLux Bio reserves the right, in its sole discretion, to refuse service, terminate accounts, or cancel orders where legal, regulatory, or compliance concerns arise.
3. Account Registration and Security
To access certain features of the Site, you may be required to create an account. You agree to provide accurate, current, and complete information and to maintain and update such information as necessary.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Any unauthorized use of your account must be reported immediately.
PureLux Bio reserves the right to suspend or terminate accounts suspected of fraud, misuse, chargeback abuse, regulatory risk, or violation of these Terms.
4. Orders, Acceptance, and Verification
All orders placed through the Site constitute an offer to purchase and are subject to acceptance by PureLux Bio. An order confirmation email does not constitute final acceptance of your order. Orders are deemed accepted only upon shipment.
We reserve the right to refuse, cancel, delay, or limit any order at our sole discretion, including but not limited to cases involving suspected fraud, pricing errors, inventory limitations, regulatory concerns, or violations of Company policies.
PureLux Bio may require additional verification prior to order fulfillment, including identity confirmation, billing validation, or documentation supporting lawful research use.
5. Pricing, Product Information, and Accuracy
All pricing, product descriptions, specifications, and availability are subject to change without notice. While we strive to ensure accuracy, errors, inaccuracies, or omissions may occur.
PureLux Bio reserves the right to correct any errors and to cancel or refuse orders placed based on incorrect information, including pricing errors.
6. Payment Processing and Authorization
All payments are processed through secure, PCI-compliant third-party payment processors. PureLux Bio does not store full credit card or financial account information.
By submitting payment, you represent and warrant that you are the authorized user of the payment method and have full legal authority to complete the transaction.
7. Payment Disputes and Chargebacks
You agree to contact PureLux Bio directly to attempt to resolve any issue prior to initiating a chargeback, payment dispute, or reversal.
Initiating a chargeback without prior good-faith communication constitutes a breach of these Terms.
In the event of a dispute, PureLux Bio reserves the right to provide documentation to financial institutions, including but not limited to order confirmations, IP address records, timestamps, AVS/CVV verification, communication logs, and delivery confirmation from carriers.
We reserve the right to suspend accounts, refuse future service, and recover any costs associated with improper chargebacks, including administrative fees, collection costs, and reasonable attorneys’ fees.
8. Shipping, Handling, and Stability Disclaimer
Due to the nature of research materials, certain products may be sensitive to temperature, light exposure, transit duration, or handling conditions.
PureLux Bio is not responsible for degradation, reduced integrity, or damage resulting from shipping delays, carrier handling, environmental exposure, or improper storage after delivery.
All risk of loss transfers to the purchaser upon tender of shipment to the carrier. It is the purchaser’s responsibility to ensure proper storage, handling, and environmental control upon receipt.
9. Resale and Distribution Restrictions
Products sold by PureLux Bio may not be repackaged, relabeled, redistributed, or resold without prior written authorization.
Authorized wholesale partners operating under a valid written agreement may resell products subject to strict compliance with all labeling requirements, Research Use Only restrictions, and brand standards.
Any unauthorized resale or distribution constitutes a material breach of these Terms and may result in account termination, legal action, and recovery of damages.
PureLux Bio disclaims all liability for any use, handling, or distribution of products once they have left our control.
10. Intellectual Property Rights
All content on the Site, including but not limited to text, graphics, branding, logos, product names, and design elements, is the exclusive property of PureLux Bio LLC or its licensors.
Such content is protected by applicable intellectual property laws. Unauthorized reproduction, distribution, modification, or use is strictly prohibited.
11. Disclaimer of Warranties
The Site and all products are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied.
PureLux Bio expressly disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
All product-specific disclaimers and risk allocations are governed by the Research Use & Purchase Agreement.
12. Limitation of Liability
To the fullest extent permitted by law, PureLux Bio shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of the Site or products.
In no event shall PureLux Bio’s total cumulative liability exceed the amount paid for the specific product giving rise to the claim.
13. No Medical or Scientific Advice
PureLux Bio does not provide medical, clinical, or professional advice.
All content, product descriptions, and communications are provided solely for informational and research context and do not constitute medical guidance, dosing instruction, or therapeutic recommendation.
14. Arbitration and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in the State of Delaware.
You agree to waive any right to participate in class actions, collective proceedings, or representative actions.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.
16. Force Majeure
PureLux Bio shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, supply chain disruptions, labor disputes, transportation failures, regulatory changes, or acts of God.
17. Export and Regulatory Compliance
Purchasers are responsible for complying with all applicable import, export, and regulatory requirements. PureLux Bio makes no representation that its products are permissible in all jurisdictions.
18. Modifications to Terms
PureLux Bio reserves the right to update or revise these Terms at any time. Updated versions will be posted on the Site with a revised effective date.
Continued use of the Site constitutes acceptance of the revised Terms.
